These Terms of Use ("Terms") govern your access to and use of the SREDr website, software, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
SREDr is operated from Toronto, Ontario, Canada.
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
SREDr provides software tools that assist with organizing, analyzing, and drafting documentation related to Scientific Research and Experimental Development (SR&ED) activities. The Services may include data ingestion, analysis, automation, reporting, and artificial intelligence–assisted outputs.
SREDr does not provide legal, tax, accounting, or professional advice. You are solely responsible for reviewing, validating, and submitting any materials generated using the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or security breach.
You retain ownership of all data, content, and materials you submit to the Services ("User Content").
By using the Services, you grant SREDr a limited, non-exclusive, royalty-free license to process, store, and analyze User Content solely for the purpose of providing the Services.
You represent and warrant that you have all rights and permissions necessary to provide User Content and that such content does not violate any laws or third-party rights.

The Services may generate outputs using artificial intelligence. These outputs are generated probabilistically and may contain errors or omissions.

Certain features of the Services may require payment. All fees are non-refundable unless expressly stated otherwise. We reserve the right to change pricing with reasonable notice.
The Services, including software, designs, trademarks, and documentation, are owned by SREDr or its licensors and are protected by intellectual property laws.
Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.
Each party agrees to protect the other's confidential information using reasonable care and to use such information only for purposes related to the Services.
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, SREDr disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, SREDr shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business, even if advised of the possibility of such damages.
SREDr's total liability arising out of or related to the Services shall not exceed the fees paid by you to SREDr in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless SREDr from any claims, damages, liabilities, and expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party.
We may suspend or terminate your access to the Services at any time if you violate these Terms or use the Services in a manner that poses risk to SREDr or others.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
